Item 1.01

Entry into a Material Definitive Agreement

On April 17, 2023 (the “Amendment Date”), ORCC Financing II LLC (“ORCC Financing II”), a subsidiary of Owl Rock Capital Corporation (the “Company”), entered into Amendment No. 8 (the “Amendment” and the facility as amended, the “Secured Credit Facility”), which amended that certain Credit Agreement, dated as of May 22, 2018 as amended by the amendments dated as of October 10, 2018, dated as of December 20, 2018, dated as of May 30, 2019, dated as of November 22, 2019, dated as of March 17, 2020, dated as of July 8, 2021 and dated as of March 25, 2022, by and among ORCC Financing II, as Borrower, the lenders from time to time parties thereto (the “Lenders”), Natixis, New York Branch, as administrative agent, State Street Bank and Trust Company as collateral agent, collateral administrator and collateral custodian and Cortland Capital Market Services LLC as document custodian. Among other changes, the Amendment amends the Secured Credit Facility to: (i) extend the reinvestment period from April 22, 2023 to April 22, 2025, (ii) extend the stated maturity from December 22, 2029 to April 17, 2033, (iii) incorporate compliance with the transparency and reporting requirements contained in Article 7 of Regulation (EU) 2017/2402, (iv) reduce the Term Commitments to zero, (v) amend the Advance Rate from 56% to 65% and (vi) change the margin from 2.30% to 2.75% per annum.

Borrowings of ORCC Financing II are considered our borrowings for purposes of complying with the asset coverage requirements under the 1940 Act.
